En mati\u00e8re de renouvellement, bailleur et locataire sont assujettis au respect de certaines formalit\u00e9s.<\/p>\n<h2><strong>La cession : un acte libre pouvant \u00eatre assorti de conditions<\/strong><\/h2>\n<p>La cession du bail commercial permet au locataire de quitter son local sans mettre fin au contrat de bail\u00a0: il c\u00e8de donc son droit au bail, soit isol\u00e9ment, soit dans le cadre d\u2019une cession de <a href=\"https:\/\/www.europropmarket.com\/commerce\/\">fonds de commerce<\/a>. Un nouveau commer\u00e7ant, le cessionnaire, prends ainsi la succession du locataire sortant, le c\u00e9dant, dans le cadre du contrat de bail\u00a0: ce dernier va donc transmettre tous ses droits au cessionnaire qui se substitue \u00e0 lui, l&rsquo;acqu\u00e9reur devenant titulaire du bail et des obligations li\u00e9es. La cession est un acte libre qui ne peut \u00eatre prohib\u00e9 par le bail commercial, des clauses pouvant cependant encadrer l\u2019op\u00e9ration\u00a0: pr\u00e9sence du bailleur lors de la signature de l&rsquo;acte de cession ou accord de ce dernier, passage devant le notaire etc. En pr\u00e9sence d\u2019une clause de garantie solidaire dans l\u2019acte de cession, le c\u00e9dant est tenu solidairement avec le cessionnaire du paiement des loyers. En vertu de la loi, l&rsquo;acte de cession doit obligatoirement \u00eatre signifi\u00e9 au bailleur via un huissier, sans conditions de d\u00e9lais, sous peine d\u2019inopposabilit\u00e9<\/p>\n<p>&nbsp;<\/p>\n<h2><strong>Le renouvellement, expresse ou tacite<\/strong><\/h2>\n<p><strong>\u00a0<\/strong>Le bail commercial classique dit \u00ab\u00a03 6 9\u00a0\u00bb permet au locataire de b\u00e9n\u00e9ficier d\u2019un droit au renouvellement du bail commercial qui s\u2019effectue selon deux modalit\u00e9s\u00a0:<\/p>\n<ul>\n<li>Tacite reconduction\u00a0: si ni le locataire ni le bailleur n\u2019ont manifest\u00e9 leur intention de renouveler le contrat de bail commercial ou d\u2019y mettre fin \u00e0 la survenance de son terme, celui-ci est implicitement et automatiquement reconduit. Il continue donc de produire ses effets, mais le professionnel locataire perd alors son droit au bail.<\/li>\n<li>Renouvellement du bail commercial\u00a0: le bailleur et le locataire conviennent d&rsquo;un accord pour le renouvellement du bail commercial, en g\u00e9n\u00e9ral dans les m\u00eames conditions que le pr\u00e9c\u00e9dent bien que le loyer puisse \u00eatre modifi\u00e9.<\/li>\n<\/ul>\n<p>Dans le cadre d\u2019un renouvellement, l\u2019initiative appartient principalement au bailleur qui peut d\u00e9livrer un cong\u00e9 au locataire par acte d&rsquo;huissier dans les 6 mois qui pr\u00e9c\u00e8dent la fin du bail commercial. Le cong\u00e9 ainsi notifi\u00e9 peut \u00eatre ou non assorti d\u2019une offre de renouvellement \u2013 le <a href=\"https:\/\/fr.wikipedia.org\/wiki\/Bail_commercial_(droit_fran%C3%A7ais)\">bail 3 6 9<\/a> pr\u00e9voyant des indemnit\u00e9s d\u2019\u00e9viction en cas de non renouvellement.
