Un contrat de bail est ainsi conclu pour une dur\u00e9e d\u00e9termin\u00e9e &#8211; g\u00e9n\u00e9ralement entre 7 et 15 ans &#8211; assorti \u00e0 terme d&rsquo;une option d&rsquo;achat qui va permettre \u00e0 l&rsquo;entreprise c\u00e9dante de r\u00e9cup\u00e9rer la propri\u00e9t\u00e9 du bien pour une somme modeste, voire symbolique.<\/p>\n<h2>Le \u00ab sale and lease-back \u00bb n&rsquo;est pas r\u00e9alis\u00e9 avec une soci\u00e9t\u00e9 de cr\u00e9dit-bail.<\/h2>\n<p>Contrairement au lease-back classique, l&rsquo;op\u00e9ration de sale and lease-back n&rsquo;implique pas une soci\u00e9t\u00e9 de cr\u00e9dit-bail : l&rsquo;entreprise peut choisir de c\u00e9der le bien \u00e0 une soci\u00e9t\u00e9 fonci\u00e8re, ou m\u00eame \u00e0 une autre entreprise, ou encore de constituer une SCI qui se portera acqu\u00e9reuse. En r\u00e8gle g\u00e9n\u00e9rale le tiers acqu\u00e9reur sera un professionnel de l&rsquo;investissement immobilier d&rsquo;entreprise et plus rarement une OPCI.<\/p>\n<h2>Pas d&rsquo;option d&rsquo;achat dans le cadre du sale and lease-back<\/h2>\n<p>Dans le cadre du sale and lease-back la soci\u00e9t\u00e9 c\u00e9dante ne dispose habituellement pas d&rsquo;une option d&rsquo;achat lui permettant de retrouver la propri\u00e9t\u00e9 du bien aux termes du contrat de location. Ce dernier peut d&rsquo;ailleurs \u00eatre rompu par pr\u00e9avis, contrairement \u00e0 ce que l&rsquo;on observe dans un lease-back classique. Si toutefois une option d&rsquo;achat est pr\u00e9vue au d\u00e9part de l&rsquo;op\u00e9ration, l&rsquo;entreprise c\u00e9dante devra g\u00e9n\u00e9ralement s&rsquo;acquitter du montant initial de la cession comme s&rsquo;il s&rsquo;agissait d&rsquo;une vente ordinaire.<\/p>\n<h2>Le sale and lease-back est adapt\u00e9 aux entreprises en difficult\u00e9<\/h2>\n<p>Le lease-back classique s&rsquo;adresse uniquement \u00e0 des entreprises en bonne sant\u00e9 financi\u00e8re, disposant de fonds propres sup\u00e9rieurs ou \u00e9gaux \u00e0 leur endettement, ou cot\u00e9es 3 ou 4 par la Banque de France. Les entreprises cot\u00e9es 5 ou 6 en sont donc exclues.
